These Terms & Conditions apply to services provided by China Business Bridge (“we”, “us” or “our”).

China Business Bridge provides sourcing, consultancy and business support services relating to suppliers, manufacturing, product development, importing and doing business with China.

By purchasing or engaging China Business Bridge to provide services, you agree to these Terms & Conditions.

Additional terms, scope, fees, timescales and deliverables may be agreed separately for individual projects. Where specific written terms are agreed for a project, those terms will apply alongside these Terms & Conditions and will take precedence in the event of a conflict.

1. Our Services

Our services may include:

• Consultations and business advice
• Supplier and factory sourcing
• Supplier and factory verification
• Product development
• Sampling and prototyping support
• Supplier communication and negotiation
• Production support
• Quality control and inspection coordination
• Business partner searches
• China-based business support
• Other sourcing, manufacturing or China-related services agreed with the client

The exact scope of work, fees, timescales and deliverables will depend on the individual project and will be agreed before paid work begins.

Unless expressly agreed otherwise, our role is to provide advice, sourcing assistance, coordination and business support. We do not manufacture products ourselves.

2. Project Scope

Before beginning paid project work, we will normally agree the scope of the services to be provided.

This may be agreed by email, message, quotation, invoice, written proposal or another written form of communication.

Any work requested outside the agreed scope may be subject to additional fees.

If the requirements of a project materially change after work has begun, we may discuss a revised scope, fee or timescale with the client before undertaking additional work.

3. Client Responsibilities

Clients are responsible for providing accurate, complete and timely information about their requirements, including where relevant:

• Product specifications
• Designs and dimensions
• Materials
• Quantities
• Quality requirements
• Target prices or budgets
• Packaging requirements
• Relevant standards or certifications
• Intended markets
• Required timescales
• Other information reasonably necessary to carry out the project

Unless otherwise expressly agreed in writing, the client remains responsible for approving products, samples, specifications, suppliers, quotations, commercial terms and other material business decisions.

Delays or additional costs resulting from incomplete, inaccurate or changing client requirements may affect the agreed timescale or cost of a project.

4. Suppliers, Manufacturers and Other Third Parties

China Business Bridge may identify, introduce, communicate with or coordinate with independent suppliers, manufacturers, inspection companies, logistics providers and other third parties.

Unless expressly agreed otherwise in writing, these third parties are independent businesses and are not employees, subsidiaries or agents of China Business Bridge.

We will take reasonable care when providing sourcing and supplier-related services. However, businesses, factories and market conditions can change, and we cannot guarantee the future performance, financial stability, conduct, quality, delivery times or compliance of an independent third party.

Clients should make commercial decisions based on their own requirements and risk tolerance.

Where appropriate, we may recommend additional verification, samples, inspections, testing or other due diligence before significant orders or commitments are made.

5. Samples, Product Development and Production

Samples, prototypes and pre-production products may differ from final mass-produced products.

Clients are responsible for reviewing and approving samples, specifications and other relevant details before authorising production unless otherwise agreed in writing.

Changes requested after sample approval or after production has begun may result in additional costs or delays.

Manufacturing involves inherent commercial and operational risks. While China Business Bridge may assist with communication, coordination, quality control and problem solving, we cannot guarantee that every manufacturing issue or defect will be prevented.

6. Quality Control and Inspections

Where quality control or inspection support forms part of an agreed service, the exact scope of that work will be agreed with the client.

An inspection or quality-control process can reduce risk but cannot guarantee that every individual product will be free from defects or that a shipment will meet every requirement.

Where independent inspection companies or other third parties are used, their services may also be subject to their own terms and conditions.

7. No Guarantee of Commercial Results

China Business Bridge does not guarantee business success, profitability, sales, product success, supplier performance, manufacturing outcomes, delivery dates or other commercial results.

Advice, recommendations and services are provided in good faith based on the information reasonably available at the time.

Business and investment decisions ultimately remain the responsibility of the client.

8. Fees and Payment

Fees will be agreed with the client before paid work begins.

Depending on the service, payment may be required:

• In full in advance
• By deposit
• In agreed stages
• On completion
• Under another payment arrangement agreed in writing

Unless otherwise expressly stated, our fees do not include third-party costs such as:

• Product samples
• Tooling or moulds
• Testing or certification
• Inspection fees
• Shipping or courier charges
• Freight
• Customs duties or taxes
• Travel or accommodation
• Payments to suppliers or manufacturers
• Other third-party expenses

Where reasonably practicable, additional third-party costs requiring payment by the client will be discussed or approved before they are incurred.

9. Supplier Payments and Product Purchases

Unless specifically agreed otherwise, payments for products, manufacturing, tooling, shipping and other supplier charges are separate from China Business Bridge’s service fees.

The payment structure for individual projects may vary and will be agreed with the client where China Business Bridge is required to coordinate or facilitate payments.

Clients should not make significant payments to suppliers or other third parties solely on the assumption that sourcing assistance eliminates commercial risk.

10. Cancellations and Refunds

Cancellation and refund terms may vary depending on the service and the stage of the project.

For booked consultations, cancellations made at least 24 hours before the scheduled time may be eligible for a refund, less any non-refundable payment processing charges or costs already incurred.

Cancellations made less than 24 hours before a scheduled consultation may not be refundable.

For project-based services, fees relating to work already completed, research undertaken, supplier searches, introductions, communications, costs already incurred or other services already performed are generally non-refundable.

Where a project is cancelled before all agreed work has been completed, any refund or outstanding payment will be determined according to the work completed, costs incurred and the specific terms agreed for that project.

Nothing in these Terms affects any statutory rights that cannot lawfully be excluded.

11. Confidentiality

China Business Bridge will take reasonable steps to keep confidential non-public business information, product information, specifications, designs and other commercially sensitive information provided by the client.

Where necessary to carry out the agreed services, relevant information may be shared with potential or existing suppliers, manufacturers, professional advisers or other third parties involved in the project.

Clients should inform us before disclosure if particular information requires special confidentiality arrangements.

Where appropriate for commercially sensitive projects, separate confidentiality or non-disclosure agreements may be agreed.

12. Intellectual Property

The client retains ownership of intellectual property, designs, trademarks and other materials that they own and provide to China Business Bridge.

Reports, templates, research, methodologies, written recommendations and other original materials created by China Business Bridge remain the intellectual property of China Business Bridge unless otherwise agreed in writing.

Materials supplied by China Business Bridge are provided for the client’s own personal or business use and may not be resold, redistributed, published or commercially exploited without permission.

Clients are responsible for ensuring that products, designs, trademarks, packaging and other materials they ask us or suppliers to use do not unlawfully infringe the intellectual property rights of third parties.

13. Product Compliance and Import Requirements

Unless expressly included within the agreed scope of work, China Business Bridge does not provide legal, tax, customs or regulatory advice.

The client is ultimately responsible for determining the legal, regulatory, safety, certification, labelling, customs and import requirements applicable to products in their intended market.

Where appropriate, we may assist with obtaining information from suppliers or third-party specialists, but such assistance does not constitute a guarantee of regulatory compliance.

Clients should obtain specialist professional advice where necessary.

14. Timescales

Any estimated timescale for sourcing, samples, production, shipping or completion of a project is an estimate unless expressly agreed otherwise in writing.

Timescales may be affected by suppliers, manufacturers, shipping companies, customs authorities, public holidays, changes to client requirements and other circumstances outside our reasonable control.

We will make reasonable efforts to communicate significant delays of which we become aware.

15. Limitation of Liability

China Business Bridge will provide its services with reasonable care and skill.

To the extent permitted by applicable law, China Business Bridge will not be responsible for indirect or consequential losses, loss of profits, loss of business or losses arising solely from the acts or omissions of independent suppliers, manufacturers, logistics providers or other third parties outside our reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited under applicable law.

16. Circumstances Outside Our Control

We will not be responsible for delays or failure to perform obligations where this results from circumstances outside our reasonable control.

These may include natural disasters, government actions, changes in law or regulation, strikes, transport disruption, shipping delays, customs delays, factory closures, power restrictions, epidemics, war, civil disturbance or other comparable events.

Where such circumstances materially affect a project, we will make reasonable efforts to inform the client and discuss available options.

17. Communications

Business instructions, approvals and agreements may be communicated by email, messaging applications or other written electronic communications used between China Business Bridge and the client.

Clients are responsible for reviewing important specifications, quotations, samples and commercial decisions before providing approval.

18. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our services, business practices or applicable law.

The latest version will be published on our website with the date of the most recent update.

Changes will not retrospectively alter specific written terms already agreed for paid work unless agreed between the parties or required by law.

19. Governing Law

These Terms & Conditions and any dispute arising from them shall be governed by and interpreted in accordance with the laws of England and Wales.

The courts of England and Wales shall have jurisdiction, subject to any mandatory rights or jurisdictional protections that apply under applicable law.
